Millions clash over Vlora Airport/ Supreme Court rules in favor of Pacolli
The Supreme Court has overturned one of the most important decisions in the legal battle for control of Vlora International Airport, giving businessman Behgjet Pacolli an important victory in the conflict with his former partner, Valon Ademi.
The Administrative College of the Supreme Court decided to reject the request for securing the lawsuit filed by the companies "Vlora International Airport" and "2A Group", thus changing the previous decisions of the Court of First Instance and the Court of Appeal in Tirana, which had accepted the suspension of several administrative procedures within the concessionary company that manages the airport.
Essentially, the Supreme Court's decision paves the way for the restoration of full control of "Mabco Constructions SA", the company associated with Behgjet Pacolli, over decision-making in the airport concession company.
The clash between Pacolli and Valon Ademi has turned into a fierce business and legal battle for control of one of the Albanian government's most strategic projects for months. The two businessmen, who for years were known as close partners and collaborators in several ventures, were involved in the conflict after the company "2A Group" claimed to have acquired the right to a larger share of the airport's shares.
Officially, the shareholding structure of the Vlora Airport concession is 98% owned by Behgjet Pacolli’s “Mabco” and 2% owned by Valon Ademi’s “2A Group.” But Ademi claims that he has invested much larger sums in the project and that these investments should be reflected in the increase in his share in the company.
The conflict erupted publicly after "2A Group" claimed to have purchased 49% of the shares of "Mabco Constructions" through a transfer contract concluded in April 2025. It was this contract that became the main object of the judicial clash.
Previously, the Tirana Court had accepted the request for securing the lawsuit and had decided to suspend any decision-making at the General Assembly of Partners of "Vlora International Airport", while also suspending the voting rights of "Mabco Constructions SA", with the argument that the quota transfer contract had not been registered.
But the Supreme Court has now overturned this security measure, giving Pacolli an advantage in the fight for control of the airport.
The clash between the parties has also led to tensions at the airport construction site. For days, employees of the "Mabco" company have not been allowed to enter the site, which has also raised concerns about the progress of the works.
Meanwhile, the battle is not only taking place in the civil and administrative courts. In parallel, the Tirana Prosecutor's Office has launched a criminal investigation into the conflict over the airport shares.
The focus of the investigation is businessman Behgjet Pacolli, his brother Emin Pacolli and Nelson Çela, former administrator of “Mabco Construction SA”. According to sources from the prosecution, the investigation has been registered for the criminal offenses of fraud with serious consequences, computer fraud and forgery of documents.
Investigators are verifying the manner of transfer of shares and their registration, while it is suspected that documents and procedures contrary to commercial law may have been used in this process.
One element that has attracted attention is the removal of Nelson Çela from the position of company administrator. According to information, he gave testimony at the Tirana Prosecutor's Office and then signed his resignation, a move that is seen as an attempt to distance himself from responsibilities in the criminal investigation.
Vlora International Airport is one of the largest infrastructure projects in the country, with an investment of around 104 million euros and an area of 309 hectares in the Akërnia area.
Construction began in 2021 by a consortium where initially 50% of the shares were owned by Behgjet Pacolli's "Mabetex", 48% by the Turkish company "YDA Group" and 2% by "2A Group". But the withdrawal of the Turkish company from the project changed all the balances between the partners and opened the conflict that has now ended in the courts and the prosecutor's office.
The clash between Pacolli and Adem is being considered one of the strongest business conflicts in Albania in recent years, while the Supreme Court's decision is expected to directly affect the control and continuation of works for the strategic airport in the south of the country. / Pamphlet
