The BNI Foundation has signed a 1 billion euro deal for Albania’s minerals, but no one in this country has seen this foundation, no one has found it in any registry, and no one can say with their hand on their heart who is behind it. However, Mirsad Uruçi, the businessman who has been moving between Albania, Serbian EFT, and offshore companies for years, is selling this foundation as an “American investor” and putting it into his biggest game yet: the nickel and cobalt mines in Bilisht, a project worth half the annual budget of the Albanian state.
The story begins a few weeks ago, when the Greek group AKTOR announced that it had signed a framework agreement for the exploration and exploitation of mineral resources in Albania. It is not about ordinary stones, but about nickel and cobalt, two of the most strategic metals of this century, without which electric car batteries cannot be made and the energy transition that the West is pushing at all costs cannot be realized. The Bilisht deposits contain over 500 thousand tons of nickel and over 25 thousand tons of cobalt, which makes this project one of the largest in Europe.
AKTOR 's partner in this venture is the BNI Foundation, which according to the official announcement is described as a "regional company operating in the Balkans and mainly Albania", with American capital. In the agreement papers, AKTOR Metal takes 51% of the joint venture, while BNI Foundation takes 49%. And on the Albanian side, the signatory for this foundation is Mirsad Uruçi, but not on behalf of any large headquarters in America, but through a company called Brightnest sh.pk, which was founded in October 2025 with a capital of 100 lek, that is, approximately one euro.
This is where the part begins where one wonders: how is it possible for a company with one euro in capital to become a partner for a 1 billion euro project?
The answer is that it is not Brightnest that matters, but the BNI Foundation, which is supposed to bring in the American capital. But when the Pamphlet started looking for who this foundation is, it was faced with a complete blank.
BNI Foundation does not appear in any register of the National Business Center in Albania. It is not registered as a commercial company, nor as a non-profit organization, nor as a foundation. It has no NIPT, no address, no document proving that it operates legally in Albanian territory. When you ask the Albanian state to show you who it has included in a billion-dollar deal for the country's underground assets, the state throws up its hands.
Pastaj shkon te regjistrat ndërkombëtarë. Në Amerikë ekziston një BNI Foundation, por ai është një fondacion bamirësie i regjistruar në Karolinën e Veriut, i cili merret me mbështetjen e fëmijëve dhe nuk ka asnjë lidhje me minierat apo Ballkanin. Në Greqi, ku AKTOR ka selinë, nuk ka asnjë degë të regjistruar. Në Zvicër, në Londër, në Emiratet e Bashkuara Arabe, ku Uruçi ka kompani të tjera, nuk gjendet asnjë gjurmë. Pra kemi të bëjmë me një entitet që askush nuk e ka parë, që askush nuk e ka kontrolluar dhe që megjithatë ka arritur të nënshkruajë një marrëveshje strategjike me një nga kompanitë më të mëdha greke.
A e ka verifikuar AKTOR Group se me kë po lidh marrëveshjen? Sepse në biznesin ndërkombëtar, para se të firmosësh për 1 miliard euro, ti kontrollon partnerin. Nëse AKTOR e ka bërë këtë verifikim dhe ka gjetur diçka, nuk po e thotë.
Nëse nuk e ka bërë, atëherë kemi të bëjmë ose me një neglizhencë të papërballueshme ose me një marrëveshje të ndërtuar mbi një fasadë, ku të dyja palët e dinë se fondacioni është thjesht një emër dhe kapitali amerikan një mit.
Këtu hyn në lojë fotografia që i jep peshë gjithë kësaj historie. Në takimin ku u finalizua marrëveshja, në Tiranë, ishte e pranishme Kimberly Guilfoyle, ambasadorja amerikane në Athinë, e cila u takua me Kryeministrin Edi Rama dhe me presidentin e AKTOR, Aleksandër Exarhos. Në pamjet e takimit shfaqet edhe Mirsad Uruçi. Guilfoyle nuk ka bërë asnjë deklaratë për BNI Foundation, por prania e saj i dha legjitimitet të menjëhershëm skemës. Sepse në Shqipëri, kur sheh një diplomate amerikane pranë një biznesmeni, mendon se ai biznesmen është i pastër. Derisa Departamenti i Shtetit të përgjigjet nëse e njeh BNI Foundation dhe nëse e mbështet atë, fotografia mbetet vetëm një fotografi, dhe Uruçi vazhdon ta shfrytëzojë atë për të mbuluar boshllëkun e madh në qendër të projektit të tij.
Pse ka kaq shumë rëndësi kjo histori? Sepse nikeli dhe kobalti nuk janë gurë të zakonshëm që mund t’i japësh kujtdo. SHBA dhe Bashkimi Europian po kërkojnë me ngulm burime alternative për të reduktuar varësinë nga Kina, e cila kontrollon pjesën më të madhe të përpunimit të këtyre metaleve. Shqipëria, me depozitat e Bilishtit, mund të luajë një rol të rëndësishëm në këtë zinxhir furnizimi. Por nëse të drejtat minerare i jepen një fondacioni fantazmë, që përfaqësohet nga një biznesmen me histori kompanish offshore dhe lidhje me oligarkun serb të energjisë Vuk Hamoviç, atëherë nuk është Perëndimi ai që përfiton. Është i njëjti rrjet i vjetër ballkanik që ka tregtuar energji elektrike për dy dekada dhe që tani po depërton në minierat strategjike.

To Mirsad Uruç: where is the BNI Foundation registered, which American companies are behind it and why do you tell Albanians that you have American capital when no proof is presented? AKTOR Group: did you verify the BNI Foundation's documentation before signing? To the American Embassy: does the American government recognize the BNI Foundation and why did Ambassador Guilfoyle appear at the meeting where this foundation was finalizing the agreement?
